Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Shopwalk Inc. ("Shopwalk," "we," "us"), including the website at shopwalk.com, the MCP endpoint at mcp.shopwalk.com, the Universal Commerce Protocol (UCP) plugins, and all related APIs and tools. By using our services, you agree to these Terms.
Service Description
Shopwalk operates an AI commerce network that connects online stores to AI agents through the Universal Commerce Protocol (UCP). Merchants install a UCP plugin on their e-commerce platform, which syncs their product catalog to the Shopwalk network. AI agents then discover, search, compare, and facilitate purchases across the network via MCP.
Shopwalk is a discovery and connection layer. We do not take possession of goods, process payments directly, or guarantee any transaction between a store and a buyer.
Account Types
Partner accounts (stores / merchants)
Partner accounts are for merchants who connect their online stores to the Shopwalk network. Partners install a UCP plugin on a supported e-commerce platform (WooCommerce, Magento, PrestaShop, or OpenCart) to sync their product catalog. Partners are responsible for the accuracy of their catalog data and compliance with applicable commerce laws.
Account holders (shoppers / AI agent operators)
Account holders are individuals or organizations that use the Shopwalk network to discover and purchase products, either directly or through AI agents. Account holders are responsible for any actions taken by AI agents operating under their credentials.
Affiliates
Affiliates refer new merchants and account holders to Shopwalk in exchange for commissions on paid plans, subject to the Affiliate Program terms below.
Acceptable Use
You agree to use Shopwalk only for lawful purposes and in accordance with these Terms. You may not:
Use the service to distribute malware, scrape data for purposes unrelated to product discovery, or conduct denial-of-service attacks.
Misrepresent product information, pricing, or availability in your catalog.
Attempt to reverse-engineer, decompile, or extract source code from Shopwalk's proprietary systems (the open-source UCP plugins are excluded from this restriction).
Use automated systems to create fake accounts, generate fraudulent transactions, or manipulate search rankings.
Violate any applicable law, regulation, or third-party rights.
UCP Plugin License
The UCP plugins for WooCommerce, Magento, PrestaShop, and OpenCart are open-source software distributed under their respective licenses. You may use, modify, and distribute the plugin code in accordance with those licenses.
The plugins connect to the Shopwalk network via an OAuth-style authorization flow. Use of the network itself is governed by these Terms, regardless of modifications made to the plugin code.
A free tier is available to all merchants. Partner Pro is offered as a tiered paid subscription with three levels — Pro Lite, Pro, and Pro+ — each providing additional features over the free tier.
Payment Terms
Shopwalk offers the following paid plans:
Partner Pro Lite — $29 per month, or $278.40 per year (20% annual discount). Entry tier; includes the partner portal dashboard, data export, basic API and webhook access, hourly product sync, AI brand voice tuning, and the "Shopwalk Verified" badge.
Partner Pro — $79 per month, or $758.40 per year (20% annual discount). Full integration tier; includes everything in Pro Lite plus Google Analytics 4 / GTM Server-Side connector, Looker Studio templates, Shopify and WooCommerce dashboard augmentation, Klaviyo / Mailchimp / HubSpot connectors, Segment / Mixpanel / Amplitude streaming, AI product description and category mapping tools, multiple ad budgets, and email support with a one business-day SLA.
Partner Pro+ — $199 per month, or $1,910.40 per year (20% annual discount). Enterprise tier; includes everything in Partner Pro plus native partnerships with Triple Whale / Northbeam / Polar Analytics, enterprise customer-data-platform integrations (mParticle, Lytics, Tealium), a four-hour support SLA, a dedicated account manager (where applicable), custom API rate limits, and custom integrations.
Account Pro — $60 per year. Increases the number of API keys and simultaneous sessions available to a shopper account; all shopper-facing product features remain available on the free tier.
All paid plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without being billed.
Shopwalk does not charge commissions or transaction fees on sales made through the network. Revenue from sales belongs entirely to the merchant.
Payments are processed by Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service. Refund requests are handled on a case-by-case basis — contact legal@shopwalk.com.
Affiliate Program
Shopwalk's affiliate program allows approved affiliates to earn commissions by referring new users to paid plans. The program terms are:
Commission rate: 30% of the referred user's subscription payments for the first 12 months.
Commissions apply to paid plans only. Referrals that remain on the free tier do not generate commissions.
Attribution: a 30-day cookie window from the referral click, plus a 90-day upgrade window if the referred user initially signs up for a free plan and later upgrades.
Payout: commissions are paid 60 days after clearance (i.e., after the referred payment clears and the refund window passes), via the payment method on file.
Shopwalk reserves the right to modify commission rates or program terms with 30 days' notice. Fraudulent referrals (self-referrals, cookie stuffing, incentivized sign-ups) will result in immediate termination from the program and forfeiture of unpaid commissions.
Intellectual Property
The Shopwalk name, logo, and branding are trademarks of Shopwalk Inc. You may not use our trademarks without prior written permission, except as necessary to describe your use of the service (e.g., "Powered by Shopwalk").
You retain all rights to content you provide through the service, including product catalog data. By syncing your catalog, you grant Shopwalk a non-exclusive, worldwide license to index, store, transform, and display your product data for the purpose of operating the AI commerce network.
The UCP plugins are open source and governed by their respective licenses. Shopwalk's proprietary systems, APIs, algorithms, and documentation remain the exclusive property of Shopwalk Inc.
Limitation of Liability
To the maximum extent permitted by law, Shopwalk Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of the service.
Shopwalk is a discovery and connection platform. We are not a party to transactions between merchants and buyers, and we are not liable for the quality, safety, legality, or delivery of any goods purchased through the network.
Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the amount you paid to Shopwalk in the twelve (12) months preceding the claim.
Termination
You may close your account at any time through your account settings or by contacting legal@shopwalk.com. Upon termination, your catalog data will be removed from the network within 30 days.
We may suspend or terminate your account if you violate these Terms, if your use of the service poses a security risk, or if required by law. We will provide reasonable notice when possible.
Termination does not relieve you of any obligation to pay outstanding fees incurred prior to termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the service shall be resolved in the state or federal courts located in Delaware.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of Shopwalk after the updated Terms take effect constitutes acceptance.
